I'm considering adding OOe to my 1500 list( replacing my Carnifex)
Is it worth it? My Carni has ext. carapace and venom cannon. He usually walks with 2 guards.

and are those guards from the tyrant? ot thr 4-5 ones (totallly irrelavent)?
Its well worth it i think if those guards are going to ensure he reaches the combat zones
he will most likely attract more fire than a normal carnifex and with those guards there its unlikely he will ever take a hit.
my carni is worth 153 points, but i could make some room and squeeze in OOe.
No. My guards occupy sepparate HQ slot, so I can deploy them where I want( not close to Tyrant).

Well, the guards are extra points so irrelevant.
OOE is definitely worth it. Especially with guards. Hes 11 more points than your carnifex and a terror in CC. D6+2 attacks, +3 on the charge Very nasty!!!
Also the regen thing...when you consider how hard he is to hurt, very awesome.
It's D6 + 1 attacks, and +2 on the charge Morpheus, sorry. The +1 on his profile is accounting for the ST.
I'd recommend a CC Carnifex that isn't OOE. For 135 pts, my current Carnifex has...
2 x Scy Tal, so 4 Attacks basic, 5 on the charge
AG, TS, AG, EC - same statline as Old One Eye
Bio-plasma, an attack for taking down the 'lith and going at Init 4
Implant attack, for the irritation of Wraithlord users
That gives the Carnifex the opportunity to cause up to 6 wounds on the charge (11 vs multi-wound characters), the chance to strike simultaneously with a few of the nastier creatures, and can cause Wraithlords headaches. It also costs 29 pts less than OOE, which is almost enough for another Tyrant Guard. I generally use the beast with 3 Tyrant Guard and a Hive Tyrant with Catalyst (best psychic power ), and it causes the enemy much strife. It also averages out at about the same number of attacks as OOE, which is nice, and it's consistent, which is even better. I can imagine scenarios where OOE rolls a nice big 1 just at the wrong time.
Old One Eye is nice as a bullet sponge, but you would be surprised at how nice it is to have a venom cannon. I often play on 4' by 8' boards and have to say that, unless we are playing over 2000 points (which you could not have Old One Eye anyway), sometimes the carnifexes never reach hand to hand. I deploy them out front and everything, but that 6" move is like watching a slug crawl. So, for me, the venom cannon is a must.
On smaller tables I have made use of him. Playing at a friend's house once and his table is 36" by 56". Old One Eye walked through a steady hail of railgun fire and then boxed in and demolished a Tau HQ crisis suit unit. At the end of the game he had all of his wounds back too.
I have to say that, in every game I play, the pair of winged Hive Tyrants earn their points back. You can follow their path across the board, just by looking at where different units and vehicles met their demise.

I would get OOE just because of how resiliant he is, if your facing a good shooting army with lots of high str weapons like the Tau, then OOE can suck up alot of the firepower, which could have killed your HT! Its true that it is unlikely he will reach CC if your opponent sits on the other end of the board and fires, however most battles invovle your opponent moving, whether its to take table quarters, objectives or whatever. I suppose it really depends on your opponents army and the size of the board, a 36" Str10 weapon can be really useful! especially if there is a few tanks you want to stun. However OOE is a CC nightmare and is impossibly difficult to kill.

Ok, if you want shooty, get a Carnifex with a VC.
If you want major close combat, OOE.
The thing about OOE is that he will soak up a lot of fire(Railguns and LC that are not shooting Tyrant). So basically if you have 2 Tyrants and 1 OOE, than he has to pick which one he wants to kill(or try too).
Yeah sometimes you might roll bad for the Dice roll for the OOE. But hey, you have th same chances of getting a 6 as getting a 1. Even if you do get a 1 on a charge, getting a six will surly make up for that. Remember that when the OOE dies, on a 4+ he gets back up(WWB roll?) . Very frustrating against the opponent.
The carnifex is a strong unit, but ooe is even better. I use both in my army and they are very effective. A fun tactic is to hide your zoanthropes behind the ooe. Your opponent will most likely fire at ooe because he seems like more of a threat. The ooe will recover his wounds, but the zoanthropes will remain mostly unharmed.
